TERM OF REFERENCE FOR RETENTION OF LEGAL COUNSEL SERVICES BACKGROUND

The primary principle of the work of Save the Children is that programs must be child centred. Save the Children Ethiopia country office based in Addis Ababa is currently seeking qualified and capable Legal Counsel firm to provide a comprehensive legal support/advice and represent Save the Children in court litigations as required. Any engagement will be for a two-year period with the possibility of extension upon satisfactory Vendor Performance Evaluation
OBJECTIVE
Save the Children international (SCI, Ethiopia) the world’s leading independent non-profit organization for children intends to onboard qualified and experience legal services provider to support the organization in timely adhering to different country wide polices, directives, laws and regulations by providing and updating timely policy changes, managing legal as well as litigation issues, providing professional advice, reviewing necessary documents and providing advice accordingly.
SCOPE OF THE WORK
The legal services responsibilities shall include the below services.
Compliance
- Advice and technical support for compliance with government requirements that apply to entities like SCI (an INGO, an employer etc)
- Provide timely advice and awareness to SCI management on the country’s new or changed policies and procedures applicable to SCI, including from Federal and Regional perspective
- Provide regular updates to SCI on the status of open SCI legal cases managed by the service provider
Advisory
- Provide expert legal advice and comprehensive support on Financial regulations, tax, Real estate, criminal law matters
- Support in giving legal advice on SCI templates, manuals, memos, letters, contracts and processes (when required)
- Commercial contracting / partnership advice where contracting is governed by local law
- Advice on labour law and HR matters, including international mobility (immigration / visa / work permit issues)
Representation
- Representation of SCI before state entities and agencies when required
- Ability to source legal advice from reputable third-party legal advisors across the various regions of Ethiopia where the supplier does not have the expertise / language required to do so directly
- Arbitration representation
- Engage in negotiations and settlement discussions on behalf of SCI (when required)
- Recording of appointments in the organizational structure, if required

About You
EVALUATION CRITERIA
Bidder responses will be evaluated against four categories of criteria: Essential Criteria, Capability Criteria, Sustainability Criteria and Commercial Criteria.
Essential Criteria Evaluation
- Bidder accepts Save the Children’s ‘Terms and Conditions of Purchase’ and that any business
awarded to the bidder will be completed under the Terms and Conditions of Save the Children. - The Bidder and its staff agree to comply with: i) SCI’s Supplier Sustainability Policy [set out under Section 4 of bid document] throughout this process and during the term of any future contract awarded.
- The bidder confirms they are not a prohibited party under applicable sanctions laws or anti- terrorism laws or provide goods under sanction by the United States of America, United Kingdom or the European Union and accepts that SCI will undertake independent checks to validate this.
- The Bidder confirms it is fully qualified, licenses and registered to trade with Save the Children (including compliance with all relevant local Country legislation).
- This includes the Bidder submitting the following requirements (where applicable):
• Tax registration certificate
• Business registration certificate
• Trading license
Capability Criteria Evaluation (50)
- Executed Work experience verifying satisfactory performance in the provision of comprehensive legal services such as in the areas of labour law, criminal law, corporate law, civil law, etc for UN and INGOs. Letter of confirmation indicating relevant areas of legal services is required -10 points
- f the bidder submits at least 10 Confirmation letters with different areas addressed as above, 20 points will be given,
5-9 Confirmation letters to indicate the comprehensive legal service provided 7.5 points, 2- 4 Confirmation letter to indicate the comprehensive legal service provided 5 points, 1 letter 2.5 point, to indicate the comprehensive legal service provided
and no Confirmation letter will be 0.\ - Number of labour cases handled per year and their wining rate. (the organization has the right prove of evidence if needed) 15 points
- Company Profile – 5 points
The contract profile of the service provider shall contain all the summary, structure, experience, objectives, purpose, mission and vision and so on. The proposal must contain detailed contact information of the service provider.
If the service provider submits company profile as the above described, 5 points will be scored. If not 0 will be scored.
Years of establishment/experience of the bidder- 10 Points
- If less than seven years: will get 3 points.
- If between 7 to 15 years: will get 6 points.
- If it is above 15 years: Will get 10 points
- Operational Capacity (confirmed in site check)-10 Points

Operational Capacity in the form of:
- Availability of qualified staff/lawyer with more than 5 years’ experience. At least 10 lawyers based in Addis.
- If less than 5: 3 points.
- If between 6-9 lawyers: 4 points.
- If it is 10 and above lawyers: 5 points
Availability of lawyers at regional level. One per each region Hawassa, Tigray, Jigjiga, Dessie and Semera, Bale.
• Representation in two offices and less: 0 points
• Representation in three offices: 3 points
• Representation in all office: 5 points
N.B- Capability Evaluation Criteria’s benchmark for passing is 30%
Sustainability Criteria Evaluation (10)

- Bidder is able to demonstrate the Employment of people from the community/or in professional reintegration
- The bidder is employing the lowest level/ none of people from the community/or in professional reintegration, in the panel (0 points)
- The bidder is employing the highest level of people from the community/or in professional reintegration, in the panel (5 points)
- Service provision on pro-bono for local civil societies. (5 points)
Commercial Criteria Evaluation (40)
- Criteria used to evaluate the commercial competitiveness of a bid. Bidders are expected:
- to provide retainer amount if any, and to specify which, if any, matters are excluded from that retainer amount;
- to stipulate whether the retainer amount covers i. all work, ii. a maximum number limit of hours, or iii. is only a flat rate which does not cover any billable work;
- if the retainer amount covers only a maximum number limit of hours, to provide the level of staff included in the hourly limit and those excluded (e.g., Partners, senior associates included, paralegals and associates excluded)
- where any retainer excludes any matters, to provide hourly rates for all levels of staff at the firm for those excluded matters
- any other applicable fees not covered by the above categories above.
Bidders should also indicate payment modality and financial rate and currency for the services required by SCI as stated in the SCOP and objective section.

Award Criteria:
- Essential criteria: Pass/ fail
- Capability criteria: bidder who score 30% and above from 50% will pass to the next evaluation stage
- Sustainability criteria: is from 10%
- Commercial criteria: is from 40%
