Key Responsibilities:

Strategic Legal Oversight:

  • Develop and lead the legal strategy for the Parent Holding Company and subsidiaries.
  • Advise the Board of Directors on legal and compliance matters.
  • Collaborate with the Executive Team on strategic initiatives to ensure legal alignment.

Compliance Management:

  • Create and implement compliance programs that meet international and local standards.
  • Monitor subsidiaries for adherence to the holding company’s policies.
  • Conduct regular compliance audits and present findings to the Board.

Contractual and Regulatory Responsibilities:

  • Review and manage all contracts, agreements, and partnerships.
  • Ensure compliance with regulations in each subsidiary’s sector.
  • Maintain relationships with regulatory bodies and manage external counsel.

Risk Management:

  • Identify potential legal risks and recommend mitigation strategies.
  • Monitor legal trends and regulatory developments that may impact the company.

Leadership and Capacity Building:

  • Manage the Legal and Compliance Department, including recruitment and performance management.
  • Train executives and managers on legal and compliance best practices.

Governance and Policy Development:

  • Draft and enforce corporate governance policies.
  • Develop conflict-of-interest policies to safeguard group operations.

Key Competencies:

  • Strategic thinking with the ability to navigate complex legal landscapes.
  • Strong leadership and interpersonal skills.
  • Exceptional written and verbal communication abilities.
  • Meticulous attention to detail in drafting and reviewing documents.
  • Proficiency in using legal and compliance management tools.

Work Environment:

The role will be based at the Parent Holding Company headquarters with occasional travel to subsidiary locations.

Salary and Benefits:

Negotiable, based on qualifications and experience.

About You

Qualifications:

  • Master’s Degree in Law (LLM); a Ph.D. in Corporate Law is an added advantage.
  • Bar membership and certification in corporate compliance are preferred.
  • Demonstrated experience in forming and managing legal entities in multiple jurisdictions.
